Transactional Counsel, Office of Technology Commercialization

Essential Functions:

  • Manage, draft, negotiate, and execute a broad range of contracts including IP licenses, non-disclosures, and option agreements, on behalf of OTC.
  • Work with Purdue University on drafting, negotiating and executing sponsored research agreements.
  • Provide transactional guidance and education to the OTC licensing team.
  • Actively seek and manage relationships with existing PRF licensees.
  • Assist with developing creative license agreement structures and mechanisms.
  • Perform administrative and management functions related to the practice of law.
  • Work closely with colleagues in legal and business development to understand deal goals and advise on risk considerations.
  • Engage and manage outside counsel when required.

Additional Responsibilities

  • Ongoing management and updates of agreement templates.
  • Provide assistance in streamlining and creating review, approval, and documentation processes for best-practices.
  • Other duties as assigned.

 Knowledge, Skills and Abilities:

  • Strong negotiation and agreement drafting experience required.
  • Ability to balance risk considerations and deal needs.
  • Knowledge of patent, trademark and copyright laws.
  • Experience working with licensing agreements.
  • Excellent organizational, problem-solving, computer, and written/verbal communication skills.
  • Ability to work independently as well as in a team environment.
  • Excellent interpersonal and customer service skills, along with the ability to interact with a diverse constituent population.
  • Ability to manage complex initiatives across multiple disciplines.
  • Strong analytic and problem solving skills.
  • Understanding of and interest in technology transfer and intellectual property.
  • Regular and reliable attendance are requirements of this position.


  • Juris Doctorate from an accredited law school.
  • Proven track record of working all facets of transactions.
  • 3-5 years of experience as a transactional attorney and in business development.
