Transactional Paralegal

Essential Functions

  • Work with transactional legal team to review, edit and draft confidentiality agreements, options, amendments, license agreements and other documentation.
  • Follow up with Purdue University and third parties on joint projects and agreements.
  • Support Business Development Managers with agreement drafting, review, negotiation and execution.
  • Assist Business Development team with external communications.
  • Work closely with Purdue sponsored program services to negotiate and execute confidentiality agreements.


  • Strategize with OTC team on file sharing system.
  • Assist with reporting, presentations and compliance matters as needed.
  • Other duties as assigned.

Knowledge, Skills and Abilities

  • Basic knowledge of boilerplate terms.
  • Basic knowledge and understanding of confidentiality agreements.
  • Knowledge of legal analysis and research.
  • Attention to detail with a quality-control focus.
  • Demonstrated computer skills and proficiency in Microsoft Word, Adobe, and electronic signatures (database and spreadsheet software programs a plus).
  • Excellent written and verbal communication skills.
  • Exceptional organizational skills, along with the ability to complete tasks in an accurate and timely manner despite numerous conflicting priorities and deadlines.
  • Demonstrated ability to work independently as well as part of the team.
  • Strong problem solving skills.
  • Excellent interpersonal and customer service skills, along with the ability to interact with a diverse constituent population.


  • Associate’s Degree and 1-3 years of paralegal/legal assistant/contract management experience required.
  • Bachelor’s degree preferred.
  • Experience with drafting, reviewing and negotiating legal agreements.
  • An equivalent combination of education and experience may be considered.
