Transactional Paralegal, Office of Technology Commercialization

Essential Functions

  • Work with transactional legal team to review, edit and draft confidentiality agreements, options, amendments, and license agreements. 
  • Manage project docket as member of the transactional legal team and under the direction of Transactional Counsel.
  • Ensure efficient workflow and timely completion of agreement negotiations by monitoring agreement negotiation status and initiate follow-up, as needed, internally, with Purdue University, and third parties on joint projects.
  • Work with Senior Finance and License Compliance Specialist to monitor contract compliance issues and, in coordination with Business Development Manager, draft notices including letters of default/breach, termination, suspension, and demand for payment.

Additional Responsibilities

  • In coordination with Business Development Managers, track agreement approval and signature status, and ensure distribution of fully executed agreements to both internal and external parties.
  • In coordination with Senior Finance and License Compliance Specialist, ensure document management system reflects up to date information as it relates to Transactional Paralegal responsibilities.
  • In coordination with Senior Finance and License Compliance Specialist and Business Development Manager, monitor agreement timelines to ensure timely renegotiation and renewals; draft extensions and amendments, as needed.
  • Assist with reporting, presentations and compliance matters as needed.
  • Other duties as assigned.

Knowledge, Skills and Abilities

  • Basic knowledge of boilerplate contract terms.
  • Basic knowledge and understanding of confidentiality and license agreements.
  • Knowledge of legal analysis and research.
  • Attention to detail with a quality-control focus.
  • Demonstrated computer skills and proficiency in Microsoft Word, Adobe, and electronic signatures (database and spreadsheet software programs a plus).
  • Excellent written and verbal communication skills.
  • Exceptional organizational skills, along with the ability to complete tasks in an accurate and timely manner despite numerous conflicting priorities and deadlines.
  • Demonstrated ability to work independently as well as part of the team.
  • Strong problem-solving skills.
  • Excellent interpersonal and customer service skills, along with the ability to interact with a diverse constituent population.
  • Regular and reliable attendance are requirements of this position.


  • Associate’s Degree and 1-3 years of paralegal/legal assistant/contract management experience required.
  • Bachelor’s degree preferred.
  • An equivalent combination of education and experience may be considered.
  • One to three years of paralegal/legal assistant/contract management experience required.
  • Experience with drafting, reviewing, and negotiating legal agreements.
  • Experience with and knowledge of intellectual property and licensing preferred.
